1. Agreement to Terms

By accessing or using KindMind (the “Service”), operated by KindMind Labs LLC (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time. Your continued use of the Service after changes are posted constitutes acceptance of those changes.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Description of Service

KindMind is a personal wellness platform that provides journaling, AI-guided reflections, and guided multi-step journeys. The Service is designed for personal self-reflection and wellness support.

4. Not a Medical or Mental Health Service

THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. KindMind is not a medical service, therapeutic tool, or medical device. KindMind does not provide medical, psychological, psychiatric, or therapeutic services. The AI-guided reflections are self-help tools, not therapy. No doctor-patient, therapist-client, or counselor-client relationship is created by your use of the Service. The Service is not designed for individuals experiencing severe or acute psychological conditions.

KindMind is not an emergency service and cannot provide crisis intervention. You should always seek the advice of a qualified health provider with any questions you may have regarding a medical or mental health condition. Never disregard professional medical advice or delay in seeking it because of something you have encountered on the Service.

5. AI-Guided Reflections

Our guided reflections feature uses artificial intelligence to generate responses. You are interacting with AI, not a person. All AI-generated responses are produced by artificial intelligence and have not been reviewed by a licensed mental health professional. By using this feature, you acknowledge and agree that:

  • Your messages in reflection conversations are transmitted to our AI provider’s API for processing and response generation.
  • AI-generated responses may be inaccurate, incomplete, or inappropriate. You should not rely on AI responses as professional advice of any kind.
  • The potential risks inherent to AI technology may not be fully understood, and safeguards may not be fully developed.
  • AI responses do not reflect the views or opinions of KindMind Labs LLC.
  • You are solely responsible for how you interpret and act upon AI-generated content.
  • We do not guarantee the availability, accuracy, or suitability of AI-generated responses.

6. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

7. Subscriptions and Payments

The Service offers a subscription plan that includes access to all features, with pricing and billing options as displayed on our pricing page. We do not gate features behind higher-priced plans. Payment is processed by a third-party payment processor. By purchasing a subscription, you agree to the payment processor’s terms of service.

New accounts include a free trial period as displayed during signup. You will not be charged until your trial ends. We will send you a reminder email the day before your trial expires. If you do not wish to continue, you may cancel before the trial ends and you will not be charged.

Subscriptions automatically renew unless canceled before the end of the current billing period. You may cancel your subscription at any time through your user menu in the app, and cancellation takes effect immediately with no additional steps required. We will never require you to call a phone number, chat with a representative, or complete any other friction-inducing process to cancel. Even after cancellation, your data remains encrypted and accessible. You can always log in and download your data. Refund requests may be submitted to hello@kindmind.com within 14 days of the charge.

We reserve the right to change subscription pricing at any time. Price changes will take effect at the start of your next billing cycle following notice of the change.

8. User Content

You retain ownership of all content you create through the Service, including journal entries, reflection conversations, and journey responses (“User Content”). By using the Service, you grant us a limited, non-exclusive license to store, process, and transmit your User Content solely as necessary to provide the Service to you.

You are solely responsible for your User Content. You agree not to use the Service to store or transmit any content that is unlawful, threatening, abusive, harassing, defamatory, or otherwise objectionable.

9. Encryption

We use zero-knowledge, client-side encryption to protect sensitive User Content (such as journal entries and exercise conversation messages). This content is encrypted with AES-256-GCM on your device before it is transmitted to our servers. Your encryption key is derived from your password and never leaves your device. We cannot access or decrypt your encrypted content.

If you lose both your password and recovery key, your encrypted data cannot be recovered by anyone, including us. This is by design and is a fundamental aspect of zero-knowledge encryption. Encryption does not make the Service perfectly secure. We do not guarantee that unauthorized access to your data will never occur. You understand and accept the inherent risks of transmitting information over the internet. You are solely responsible for safeguarding your password and recovery key.

10. Prohibited Uses

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to the Service, other users’ accounts, or our systems.
  • Interfere with or disrupt the Service or its infrastructure.
  • Reverse engineer, decompile, or disassemble any aspect of the Service.
  • Use automated means (bots, scrapers, etc.) to access the Service without our written permission.
  • Attempt to circumvent any security features, access controls, or usage limits of the Service.
  • Use the AI-guided exercises to attempt to generate harmful, illegal, or abusive content.

11. Intellectual Property

The Service, including its design, code, features, content, trademarks, and logos, is the property of KindMind Labs LLC and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any content provided through the Service, including AI-generated content.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KINDMIND LABS LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

14. Indemnification

You agree to indemnify, defend, and hold harmless KindMind Labs LLC and its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of any third party.

15. Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration shall take place in the State of Oregon, United States, unless otherwise agreed by the parties. The arbitrator’s award shall be final and binding.

YOU AND KINDMIND LABS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of class or representative proceeding.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions.

17. Termination

We may suspend or terminate your access to the Service for violation of these Terms, with notice where practicable. We may also discontinue the Service entirely with at least 30 days’ notice, during which time you may export your data. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including but not limited to Disclaimer of Warranties, Limitation of Liability, Indemnification, and Arbitration) shall survive.

18. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, cyberattacks, or third-party service provider failures.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

20. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to any successor entity in the event of a merger, acquisition, reorganization, or sale of all or substantially all of our assets, provided the successor agrees to be bound by these Terms.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and KindMind Labs LLC regarding the Service, and supersede all prior or contemporaneous agreements, understandings, or communications.
